What Is Adeso?

Adeso is an AI agent platform that gives you a personal, always-on AI assistant. It runs on:

• Your own hardware (BYOD) — install the Adeso software on a machine you own or manage
• Adeso-provided hardware — a plug-and-play appliance sold or leased by Adeso

These Terms cover the software subscription only. Hardware purchase and leasing terms are separate documents.

1. Agreement

By signing up for an Adeso subscription, you agree to these Terms. These Terms form a legal agreement between you and 12529572 Canada Inc ("Adeso", "we", "us", "our").

If you're agreeing on behalf of a company or organization, you represent that you have authority to bind that entity.

2. Subscription

What's included

Your Adeso software subscription gives you access to:

• The Adeso platform — an OpenClaw-based AI agent environment
• The Adeso Setup Wizard — guided onboarding and configuration
• The Adeso Dashboard — manage your agents, integrations, and settings
• Software updates — new features and security patches while your subscription is active

What's NOT included

• AI API costs — Adeso uses a Bring Your Own API Keys (BYOAK) model. You connect your own accounts with AI providers (e.g., Anthropic, OpenAI). You are responsible for any API usage costs charged by those providers.
• Hardware — In the BYOD tier, you provide your own device. Adeso does not supply hardware in this tier.
• Internet connectivity or cloud infrastructure — unless you're on a managed tier (details TBD).

Pricing

Subscription pricing ranges from $29–79/month CAD depending on your tier. Specific tier details and pricing will be confirmed at the time of purchase. Prices are subject to change with reasonable notice.

3. Bring Your Own API Keys (BYOAK)

Adeso connects to third-party AI providers (such as Anthropic and OpenAI) using API keys that you supply. By using these integrations, you acknowledge:

• You are entering into your own agreement with those providers
• Any costs incurred with those providers are your responsibility
• Adeso does not guarantee the availability or performance of any third-party AI provider
• You are responsible for ensuring your use complies with those providers' terms of service

4. Acceptable Use

You agree to use Adeso only for lawful purposes. You must not:

• Use Adeso for any illegal activity
• Use Adeso to harass, threaten, or harm any person
• Attempt to circumvent or violate the terms of any third-party AI provider integrated with Adeso
• Reverse-engineer or decompile the proprietary portions of Adeso
• Resell or sublicense access to the Adeso platform without written permission
• Use Adeso to generate content that violates applicable law or third-party intellectual property rights

We reserve the right to suspend accounts that violate these rules, with or without prior notice, depending on severity.

5. Intellectual Property

Adeso software

The Adeso platform, branding, design, and proprietary code are owned by 12529572 Canada Inc. Nothing in these Terms transfers ownership of Adeso's intellectual property to you.

Your subscription gives you a limited, non-exclusive, non-transferable right to use the software for your personal or internal business purposes.

OpenClaw components

Adeso is built in part on OpenClaw, licensed under the MIT License:

Permission is hereby granted, free of charge, to any person obtaining a copy of this software and associated documentation files (the "Software"), to deal in the Software without restriction, including without limitation the rights to use, copy, modify, merge, publish, distribute, sublicense, and/or sell copies of the Software, and to permit persons to whom the Software is furnished to do so, subject to the following conditions: The above copyright notice and this permission notice shall be included in all copies or substantial portions of the Software.

Your content

You retain ownership of any content you create using Adeso. By using the service, you grant Adeso a limited license to process your content solely to provide the service to you.

6. No Warranty

Adeso is provided "as is" without warranty of any kind. We make no guarantees that:

• The software will be error-free or uninterrupted
• AI-generated outputs will be accurate, complete, or suitable for any particular purpose
• The service will meet your specific requirements

Always verify important information before acting on AI outputs.

7. Limitation of Liability

To the maximum extent permitted by applicable law, Adeso's total liability to you for any claim arising from these Terms or your use of the service is limited to the fees you paid to Adeso in the 3 months preceding the claim.

Adeso is not liable for:

• Indirect, incidental, or consequential damages
• Loss of data or profits
• AI provider downtime or errors
• Any costs you incur with third-party AI providers

8. Cancellation

You can cancel your subscription at any time, for any reason, with no cancellation penalty.

To cancel, email contact@adeso.ai. Your subscription will remain active until the end of the current billing period.

We do not currently offer pro-rated refunds for partial months. If you have a special circumstance, reach out and we'll work something out.

9. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we'll notify you by email at least 30 days before the change takes effect. Continued use of the service after the effective date means you accept the updated Terms.

10. Governing Law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any disputes will be resolved in the courts of Ontario.
